Terms of Service

1. Agreement to These Terms

These Terms of Service govern your access to and use of the EZVFC website, mobile application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms on behalf of yourself and, if applicable, the healthcare organization you represent.

If you are entering into a separate order form, subscription agreement, Business Associate Agreement, or other written agreement with EZVFC, that written agreement controls to the extent it conflicts with these Terms.

2. Authorized Use

The Service is intended for healthcare organizations and authorized workforce members managing vaccine inventory, administration records, and compliance workflows. You may use the Service only for lawful business purposes and in accordance with these Terms.

• You must provide accurate account and organization information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You may not share accounts in a way that defeats role-based access controls or audit logging.

3. Acceptable Use

You agree not to:

• Use the Service in violation of HIPAA, privacy laws, or other applicable regulations.
• Attempt to gain unauthorized access to accounts, data, systems, or networks.
• Interfere with the security, integrity, or performance of the Service.
• Upload malicious code, scrape the Service, or reverse engineer protected portions of the platform.
• Use the Service to transmit unlawful, infringing, or fraudulent content.

4. Customer Data and HIPAA

You retain responsibility for the accuracy, legality, and permitted disclosure of the data you submit to the Service, including Protected Health Information ("PHI"). If your use of the Service involves PHI, the parties' handling of PHI is governed by the applicable Business Associate Agreement and our HIPAA Compliance commitments.

We process customer data to provide the Service, maintain security, support users, and comply with legal obligations, as described in our Privacy Policy.

5. Availability and Changes

We may update, improve, or modify the Service from time to time. We may also suspend access for maintenance, security issues, or legal compliance. We will use commercially reasonable efforts to minimize unnecessary disruption.

6. Third-Party Services

The Service may integrate with or rely on third-party providers for infrastructure, analytics, authentication, email delivery, or other operational support. Your use of those third-party services may also be subject to their own terms and privacy policies.

7. Intellectual Property

EZVFC and its licensors retain all rights, title, and interest in the Service, including software, content, branding, and documentation, except for customer data submitted by users. These Terms do not transfer any ownership rights to you.

8. Suspension and Termination

We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms, created a security risk, or used the Service in a way that could expose us or other users to harm. You may stop using the Service at any time.

9. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis, except as otherwise stated in a written agreement with you. To the maximum extent permitted by law, EZVFC disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, EZVFC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising out of or related to your use of the Service.
